The Federal Tax Authority issued updated guidance on Family Foundations in June 2026. For families using UAE structures the practical consequences fall into a small number of areas, and one of them is a genuine change of position.
Family Offices are Unlikely to be Fiscally Transparent
The guidance indicates that single and multi-family offices will generally not qualify for treatment as fiscally transparent Unincorporated Partnerships, on the basis that their activities amount to carrying on a business. Management, administration, investment services and support functions all point the same way. Such an office is therefore subject to Corporate Tax as a Resident Person on its income, including management fees charged to the family it serves.
Where the office is established as a Free Zone Person, the 0% rate on Qualifying Income remains available in principle for qualifying activities such as wealth and investment management. The qualification carries a condition that has been sharpened considerably: the activity must be subject to regulatory oversight by a competent authority in the UAE, meaning the Central Bank, the DFSA, the FSRA or the Securities and Commodities Authority. Holding a free zone licence is not by itself sufficient. A single family office managing only its own family's assets typically sits outside that regulatory perimeter and would not obtain the 0% rate on those services.
Multi-Tier Structures
For transparent treatment to flow through a layered arrangement, the guidance confirms that an unbroken chain of qualifying entities is required. A single non-qualifying entity inserted at any level breaks the chain for everything beneath it. Families with holding structures assembled over years, by different advisers and for different original purposes, should have the chain mapped.
More helpfully, the guidance confirms that an underlying juridical person may be jointly owned by more than one Family Foundation and still satisfy the ownership condition, which resolves an awkwardness for families that have split their structures along branch lines.
Moving Assets In and Out
Entry into or exit from transparent status does not produce an automatic step-up or step-down in the tax base of the assets concerned. Historical cost carries forward, with obvious consequences for the computation on any future disposal.
Transfers by a natural person of assets constituting personal investments or real estate investments should generally remain outside the scope of Corporate Tax. Transfers by a taxable company are a different matter and require a Corporate Tax and transfer pricing review before execution, alongside Value Added Tax and Dubai Land Department transfer fees.
The Date That Matters
For entities on a calendar financial year, the second cycle return covering 2025 falls due on 30 September 2026. Documentation must be retained for seven years, and disclosures covering connected persons and transfer pricing form part of the filing rather than sitting outside it.
This note describes published guidance and is not tax advice. Positions should be confirmed with counsel in the relevant jurisdiction before any structure is altered.
