The DIFC promulgated the updated Prescribed Business Regulations on July 24, 2026. The amendments materially broaden who may use the vehicle, removing the previous eligibility requirements that had restricted PresCos to applicants with a qualifying connection to the Centre or to a defined category of transaction.
The practical effect is that holding and structuring vehicles within the DIFC are now available to a considerably wider range of individuals, family groups and businesses. For families that had assembled holding arrangements offshore for want of an accessible onshore option, there is now a case for consolidating within a single common law jurisdiction that also happens to be where the family's advisers already sit.
The trade for that openness is oversight. Most PresCos must now appoint a DFSA-licensed Corporate Services Provider, which becomes the primary administrative and compliance interface with the Registrar of Companies. This is an ongoing cost rather than a formation cost, and it should be modelled as such before any restructuring is undertaken on the strength of the new rules.
Families already holding assets through DIFC structures may find that arrangements built to satisfy the old eligibility tests can now be simplified. That review is worth conducting alongside the Corporate Tax position, not separately from it, since the two interact.
